Amplifiles Affiliate Program Terms

These Amplifiles Affiliate Program Terms (“Terms”) govern your participation in the Amplifiles Affiliate Program (the “Program”).
By enrolling in or participating in the Program, you agree to be bound by these Terms.
These Terms are entered into between you (“Affiliate,” “you,” or “your”) and Aava AI Oy, a company organized under the laws of Finland (“Amplifiles,” “we,” “us,” or “our”).
1. Overview
The Amplifiles Affiliate Program enables approved affiliates to earn commission-based payouts by referring new paying customers to Amplifiles.
Participation in the Program is subject to Amplifiles’ approval, compliance with these Terms, and continued good standing.
2. Eligibility and Enrollment
The Program is open to individuals and companies who are at least 18 years old (or of legal age in their jurisdiction).
Amplifiles reserves the right to accept, reject, or terminate any affiliate application or participation at its sole discretion and for any reason.
By participating, you represent and warrant that all information provided in your application is accurate and that you will comply with applicable laws and these Terms.
3. Commission Structure
3.1 Commission Rate
You will earn a 30% commission on net revenue generated by each referred customer during their first 12 months of paid usage on Amplifiles.
3.2 Attribution
The Program uses a 60-day last-click attribution window.
If multiple affiliates refer the same customer, the affiliate whose link was last clicked before conversion will receive credit.
Referrals must occur via your unique tracking link provided by Amplifiles.
3.3 Definition of “Net Revenue”
“Net Revenue” means the total amount actually received by Amplifiles from a referred customer, excluding:
- VAT or other taxes,
- refunds, chargebacks, credits, or reversals, and transaction or processing fees.
3.4 Payout Conditions
Payouts are made in US dollars ($) via bank transfer (or another method chosen by Amplifiles).
Payouts are issued on a Net 30-day schedule, meaning within 30 days following the end of the month in which revenue is recognized and paid by the referred customer.
The minimum payout threshold is €20. Balances below that amount will roll over to the next payment cycle.
If a customer cancels, refunds, or fails to pay, any associated commissions may be withheld or reversed.
4. Prohibited Conduct
Affiliates may not:
- Misrepresent themselves as Amplifiles or claim employment, partnership, or agency status.
- Use Amplifiles trademarks, logos, or branding except as explicitly permitted.
- Engage in misleading, deceptive, or unethical marketing.
- Purchase ads on search engines, social networks, or other platforms using the Amplifiles brand name, trademarks, or misspellings.
- Post affiliate links on coupon or discount websites.
- Use spam, bots, unsolicited messages, or deceptive methods to generate referrals.
- Make false claims about Amplifiles’ products, pricing, or availability.
- Collect or misuse user data in violation of privacy laws or Amplifiles policies.
Violating these restrictions may result in immediate termination and forfeiture of unpaid commissions.
5. Intellectual Property and Branding
Amplifiles retains all rights, title, and interest in its trademarks, logos, and content.
Affiliates are granted a limited, non-exclusive, revocable license to use approved Amplifiles promotional materials solely for the purpose of participating in the Program.
You must follow Amplifiles’ brand and communication guidelines when referring to the company.
6. Relationship of the Parties
Participation in the Program does not create an employment, agency, partnership, or joint venture relationship between you and Amplifiles.
You are an independent contractor responsible for your own taxes, costs, and compliance obligations.
7. Term and Termination
Either party may terminate participation at any time, with or without cause, by written notice.
Amplifiles reserves the right to suspend or terminate any affiliate for inactivity, suspected fraud, or violation of these Terms.
Upon termination, you will no longer earn commissions, and any pending but unpaid commissions may be withheld if the termination results from breach or fraudulent activity.
8. Confidentiality
You agree not to disclose or use any confidential information received from Amplifiles for purposes other than participation in the Program.
Confidential information includes non-public data about Amplifiles’ business, customers, pricing, and systems.
9. Limitation of Liability
To the maximum extent permitted by law, Amplifiles will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program, even if advised of the possibility of such damages.
Amplifiles’ total liability under these Terms will not exceed the total commissions paid to you in the preceding 6 months.
10. Indemnification
You agree to indemnify, defend, and hold harmless Amplifiles, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your participation in the Program, including violations of these Terms or applicable laws.
11. Taxes
You are solely responsible for reporting and paying any taxes arising from payments received under this Program.
Amplifiles may request tax documentation (such as W-8/W-9 forms or local equivalents) before issuing payments.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Finland, excluding its conflict of law principles.
Any disputes arising from these Terms shall be resolved in the District Court of Pirkanmaa (Tampere, Finland), unless otherwise required by mandatory law.
13. Modifications
Amplifiles may modify these Terms or discontinue the Program at any time.
Material changes will be communicated via email or notice in your affiliate dashboard.
Continued participation following such notice constitutes your acceptance of the revised Terms.
14. Entire Agreement
These Terms constitute the entire agreement between you and Amplifiles regarding the Program and supersede all prior or contemporaneous communications, agreements, or understandings.
